Terms of Use

These Terms of Use ("Terms") govern your access to and use of the mobile application operated by Wave AI LLC ("Company," "we," "us," or "our") (the "App") and related services (collectively, the "Services").

By downloading, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. The Services

The App allows users to upload images (such as selfies) and generate AI-transformed images (for example, fantasy-style characters). The output is generated automatically by artificial intelligence systems.

We may modify, suspend, or discontinue any part of the Services at any time without notice.

2. User Content

2.1 Your Content

"User Content" means any images or materials you upload to the App.

You represent and warrant that:

• You own or have all necessary rights to upload and use the content;
• Your content does not violate any law or infringe any third-party rights (including privacy, publicity, or intellectual property rights);
• You will not upload unlawful, abusive, exploitative, or harmful content.

2.2 License Grant

You grant Wave AI LLC a limited, non-exclusive, royalty-free license to process, transmit, and temporarily store your User Content solely for the purpose of providing the Services (i.e., generating and delivering AI outputs).

We do not claim ownership of your User Content.

2.3 Third-Party AI Processing and Your Consent

To deliver AI-transformed images, your uploaded images (including any face data) are transmitted to the following third-party AI service providers:

• Fal.AI (fal.ai) — AI-based image generation and processing
• Google Cloud — Cloud infrastructure and AI processing services

By submitting an image for transformation (e.g., tapping "Generate"), you explicitly consent to your image being sent to these providers solely for the purpose of generating your requested output. These providers do not retain, sell, or use your images for any purpose other than fulfilling your transformation request. Please review the Privacy Policy for full details on what data is sent, to whom, and how it is protected.

3. AI-Generated Output

The images generated by the App ("Output") are created automatically based on your input.

You acknowledge and agree:

• Output may be inaccurate, unexpected, or incomplete;
• Output should not be relied upon for professional, legal, medical, or safety-critical purposes;
• You are solely responsible for how you use or distribute the Output.

As between you and Wave AI LLC, you may use the Output for personal or commercial purposes, provided your use complies with applicable law.

4. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose;
• Upload content that is illegal, defamatory, hateful, abusive, or sexually exploitative;
• Upload images of others without proper authorization where required by law;
• Reverse engineer, copy, or exploit the App;
• Use bots, scrapers, or automated systems without permission;
• Interfere with or disrupt the Services.

We may suspend or terminate your access if you violate these Terms.

5. Payments and Subscriptions (If Applicable)

Certain features may require payment or subscription.

• Pricing is displayed in the App before purchase.
• Subscriptions may automatically renew unless canceled.
• You may manage or cancel subscriptions through your Apple ID account settings.

Refunds for purchases made through Apple are governed by Apple's policies. We cannot directly issue App Store refunds.

6. Intellectual Property

The App, including its software, branding, and design, is owned by Wave AI LLC and protected under U.S. intellectual property laws.

You may not reproduce, modify, distribute, or commercially exploit the App itself without our written consent.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, secure, or error-free operation.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAVE AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

• $100 USD, OR
• THE AMOUNT YOU PAID US IN THE LAST SIX (6) MONTHS.

9. Indemnification

You agree to defend, indemnify, and hold harmless Wave AI LLC from and against any claims, damages, liabilities, and expenses arising from:

• Your use of the Services;
• Your User Content;
• Your violation of these Terms;
• Your violation of any law or third-party rights.

10. Governing Law

These Terms shall be governed by and construed under the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes shall be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.

11. Changes to These Terms

We may update these Terms at any time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
